Time4Trees LTD Terms and Conditions
Thank you for choosing to partner with Time4Trees LTD ("Time4Trees," "we," "us," or "our"). These Terms and Conditions ("Terms") outline the agreement between Time4Trees and your company ("Partner," "you," or "your") regarding the partnership and services provided by Time4Trees LTD. By entering into this agreement, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Partnership Agreement 1.1. By partnering with Time4Trees LTD, you agree to collaborate with us in tree planting initiatives and related environmental projects. 1.2. Time4Trees will provide services and support as outlined in the partnership agreement, including but not limited to tree planting, environmental consultations, and educational programs.
2. Nature of Services: Tree Planting, Not Carbon Credits 2.1. Unless expressly agreed otherwise in writing, all purchases from Time4Trees are for tree planting services: the planting, care and maintenance of trees at our planting sites, together with associated certificates and reporting. 2.2. Purchases do not constitute, create or transfer carbon credits, carbon offsets, Pending Issuance Units (PIUs), Woodland Carbon Units (WCUs), or any other tradeable or retireable environmental instrument. No units are registered on the UK Land Carbon Registry or any other registry in the Partner's name, and no serial numbers are issued, unless expressly agreed in writing as a separate service. 2.3. Tree planting purchased from Time4Trees may be described by the Partner as a climate or environmental contribution made beyond its own value chain. It must not be described as offsetting, neutralising, compensating for or reducing the Partner's own carbon footprint, and must not be used in carbon accounting as a deduction from reported emissions. 2.4. The Partner is solely responsible for ensuring that any environmental claims it makes in connection with its purchase comply with applicable law and guidance, including the Competition and Markets Authority Green Claims Code.
3. Certificates and Sequestration Estimates 3.1. Certificates issued by Time4Trees record the number of trees planted, planting location details and, where stated, an estimated carbon sequestration figure. 3.2. Any sequestration figure shown is an indicative projection of the carbon the trees are expected to absorb over their full lifetime, typically several decades. It is an estimate only, is not verified, is not available to claim in any given year, and does not represent carbon credits or units of any kind.
4. Tree Care and Replacement 4.1. Time4Trees plants and maintains trees at its planting sites and will replace, free of charge, any tree that fails to establish, in line with our long-term planting guarantee. 4.2. Trees remain part of the planting site and are not the physical property of the Partner. The Partner purchases the planting and ongoing stewardship of the trees, together with the associated recognition and reporting.
5. Company Name Display 5.1. Time4Trees LTD reserves the right to display the company name and logo of the Partner on our website and marketing materials for promotional and marketing purposes. 5.2. If you do not wish for your company name and logo to be displayed on our website or marketing materials, please inform us in writing.
6. Confidentiality 6.1. Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the partnership. 6.2. Confidential information includes but is not limited to business strategies, financial data, and customer information.
7. Intellectual Property 7.1. Each party retains ownership of its intellectual property rights, including trademarks, logos, and copyrights. 7.2. Partner agrees not to use Time4Trees' intellectual property without prior written consent.
8. Liability 8.1. Time4Trees LTD is not liable for any damages, losses, or liabilities arising from the partnership, except in cases of willful misconduct or gross negligence. 8.2. Partner agrees to indemnify Time4Trees against any claims or actions resulting from Partner's actions or omissions, including any environmental or carbon-related claims made by the Partner that do not comply with clause 2. 8.3. Time4Trees accepts no liability for any reliance placed by the Partner on estimated sequestration figures for carbon accounting, reporting or offsetting purposes.
9. Termination 9.1. Either party may terminate this agreement with written notice to the other party. 9.2. Upon termination, both parties shall cease using each other's intellectual property and return any confidential information.
10. Governing Law 10.1. These Terms and the partnership between the parties shall be governed by and construed in accordance with the laws of England and Wales. 10.2. Any disputes arising from this agreement shall be resolved through amicable negotiations. In the event of a legal dispute, the courts of England and Wales shall have exclusive jurisdiction.
11. Miscellaneous 11.1. These Terms constitute the entire agreement between the parties and supersede any prior agreements or understandings. 11.2. Any amendments or modifications to these Terms must be in writing and signed by authorized representatives of both parties.
By entering into this agreement, you acknowledge that you have the authority to bind your company to these Terms and Conditions.
